What you can do
Start from governed wording
Legal Counsel maintains reusable contract templates by type, version, governing law and default term. The clause library keeps a code, category, standard text, version label and risk tier for each reusable clause. Active selections help the team choose current material during drafting. These reference records give reviewers a common starting point when agreements of the same type come through the queue.
A contract points to a template. Its contract clauses point back to the original library entries while retaining the wording actually used on that agreement. A clause can show a standard, conservative, negotiated, fallback or custom variant. The current text and modified selection show what the team must inspect during legal review. The library version reference helps a reviewer understand which source wording informed the contract clause.
How the work is organized
- Reusable sources. Templates hold type and default terms; the clause library holds approved standard wording and risk context.
- Agreement wording. Contract clauses carry ordered text for a specific contract rather than relying on a live library entry.
- Change review. Redlines identify proposed edits against those clauses and record the resolution.
This separation matters when Legal Counsel updates a standard clause while an earlier contract remains in negotiation. The legal reviewer can compare the clause on that agreement with its source and decide what to accept. The Contract Manager can see which text belongs to the live draft without treating a library edit as an agreed change to every contract.
What to agree during setup
Assign ownership of template and clause changes. Decide when a template version is retired, how the active selection is managed and who may enter a custom clause variant. Agree what a high risk tier means for your review practice. Set a naming convention for clause codes and titles that people can use during negotiation. Before using a template, check its contract type, default term and governing law with the Legal Counsel who owns the wording.
Check the handoff on an actual case
A Contract Manager prepares an NDA from a current template. Legal Counsel checks the confidentiality clause from the library and its version label. The counterparty requests different termination wording, so the contract clause carries negotiated text and a redline records the proposed change. Legal Counsel accepts or rejects that redline with a resolution note. The Contract Manager then takes the reviewed wording forward to the approval stage. The original library entry remains available for the next agreement.
What your team sees
- Clauses changed for review — Inspect contract wording marked as modified from its source.
- Contracts in review — Open the agreement whose clause wording is being checked.
Follow the work through
Use draft and clause review to move from source wording to reviewed agreement text, then redline resolution for changes raised during negotiation.
What it keeps track of
