Negotiate a complete agreement

Sales Rep prepares the contract from the current offer and records the customer, selling entity, commercial term and responsible owner. The contract retains the actual terms artifact, negotiated changes and order of precedence between the offer and agreement.

Sales Manager independently approves the final commercial version within the applicable authority. Product or technical changes return to the appropriate configuration review as well. A redline that changes scope, price, duration or acceptance conditions cannot inherit approval from the earlier document.

The agreement identifies one-time, recurring and usage commitments at line level. Net prices retain their charge unit and cadence, with service intervals, proration and any minimum commitment. Forecasted usage remains distinguishable from what the customer actually committed to buy.

Verify the full acceptance

The signature request is bound to the exact contract version and expected parties. A single recipient-signed notification does not complete an envelope requiring other signatures. Declined, voided, expired and superseded attempts remain linked for review.

Sales Manager verifies the completed evidence and activates the accepted agreement. A typed signatory name or edited date cannot do that work. Authenticated provider events and reviewed manual evidence follow the same version and authority checks; no provider connection is assumed ready merely because it is named.

Deliver and bill the accepted scope

Active contract lines define the quantities and values available for order generation. A staged order consumes only its allocated portion. Repeated activation or generation requests retain their original identities, preventing the full contract value from being assigned to several orders.

Each agreed occurrence has its own cycle. Billing can depend on fulfillment, a period boundary or approved usage according to the signed terms. A scheduled subscription does not need a fabricated physical delivery, and a delivery-dependent line does not become billable merely because its header is active. A usage assessment includes the period minimum; earlier minimum invoices reduce the remaining charge.

Partial fulfillment and billing leave explicit remaining scope. Corrections preserve what was already delivered or invoiced and reconcile the affected downstream obligations. The commercial history remains available after a line is suspended, ended or superseded.

Start renewal work from the current term

Renewal work uses the accepted contract version, notice policy and term dates. The same term produces one renewal identity and one linked continuation opportunity. A changed or terminated source makes obsolete pending work ineligible for fresh successor effects.

Contracts Up for Renewal brings those obligations to the rep and manager. Risk flags retain dated customer, support or usage evidence. An unresolved case may inform the conversation, but it does not silently change contract price or establish that the customer has decided to leave.

The proposed value separates continuing recurring business, agreed uplift, additional quantity or products and new one-time charges. The comparison states its currency and annual or term basis. The continuing base cannot disappear because the new opportunity was described only as an upsell.

Record the next term or the decision to stop

Sales Rep prepares the renewed scope and Sales Manager reviews the terms. Auto-renew follows the authority and notice conditions already agreed with the customer; it does not create permission for unrelated price or product changes. A normal renewal retains the required new acceptance evidence.

The successor contract links to its predecessor and begins on the agreed boundary. Prior earned, delivered and billed scope remains intact. Pricing follows the accepted renewal basis once, rather than applying both a prior-price uplift and a second current-book uplift.

Not-renewing, lost, termination and lapse paths retain their reason, effective date and remaining obligations. Closing a renewal task cannot cancel issued invoices or erase the agreement being replaced. Renewal Pipeline reports the actual continuing and incremental opportunity on that retained history.
