How a Corporate Governance rollout works

Start with one organization and a matter with a real board decision.

  1. Agree authority

Identify who prepares matters, who reviews conflicts and revisions, and who records the organization's board decision. Define the required meeting and quorum evidence.

  2. Map source records

Preserve organization and client codes, matter numbers, document revisions and operation keys. Identify the owner of each active matter.

  3. Configure a bounded pilot

Use one organization, one active matter, a submitted resolution, a due deadline and an uncertain receipt. Rehearse the full handoff among coordinator, attorney and auditor.

  4. Rehearse exceptions

Test a conflict finding, a returned revision, a missing meeting reference, a nonpositive quorum, an overdue deadline and a failed operation. Check direct file access with an unauthorized account.

  5. Reconcile and release

Compare imported records and linked evidence with the source, confirm role scope, and obtain the organization's approval before making the operating cycle available more widely.

  • Access policy for internal and shared evidence, and the source of external filing receipts.

Changing it afterwards

Use Proto to prepare changes for review. Recheck the affected roles, source mappings, statuses and reports before release. Keep historical decisions tied to the revision they considered, and reconcile older operation receipts before repeating an action.
